Agreement to Terms

By accessing and using the services provided by HDBAS LLC, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

Description of Services

HDBAS LLC provides professional computer systems design and integration services, including but not limited to:

Computer systems design and architecture
Systems integration and implementation
Technical consulting services
Professional scientific and technical services
Specialized design services

Service Agreements

All professional services are provided under separate service agreements that outline specific project scope, deliverables, timelines, and compensation. These Terms of Service supplement but do not replace individual service agreements.

Client Responsibilities

Clients are responsible for:

Providing accurate and complete project requirements
Timely provision of necessary access and information
Payment of fees according to agreed terms
Compliance with all applicable laws and regulations

Intellectual Property

All intellectual property rights in custom solutions developed specifically for clients shall be transferred to the client upon full payment. Pre-existing intellectual property and general methodologies remain the property of HDBAS LLC.

Confidentiality

HDBAS LLC maintains strict confidentiality regarding all client information and project details. We do not disclose confidential information to third parties without explicit client consent, except as required by law.

Limitation of Liability

HDBAS LLC's liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific services giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

Professional Standards

All services are performed in accordance with industry best practices and professional standards applicable to computer systems design and technical consulting services.

Payment Terms

Payment terms are specified in individual service agreements. Generally, payments are due within 30 days of invoice date unless otherwise agreed. Late payments may incur additional charges.

Termination

Either party may terminate services with appropriate notice as specified in the service agreement. Upon termination, all outstanding fees become immediately due and payable.

Force Majeure

HDBAS LLC shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, or government actions.

Governing Law

These Terms of Service are governed by the laws of the State of California, United States. Any disputes shall be resolved in the courts of Contra Costa County, California.

Modifications

HDBAS LLC reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified terms.

If any provision of these Terms of Service is found to be unenforceable, the remaining provisions shall continue in full force and effect.
